Terms and Conditions

These terms cover your use of the kordio.io website. Use of the Kordio product itself is governed by a separate Service Agreement.

1. About these terms

These Terms of Use ("Terms") govern your access to and use of kordio.io and any related pages we operate under the Kordio brand (the "Site"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

"We", "us", and "our" refer to Kordio. "You" means the person or entity accessing the Site.

2. Relationship to our other agreements

If you register for the Kordio product at app.kordio.io, additional agreements apply: the Kordio Service Agreement, the Data Processing Addendum, and the Acceptable Use Policy. Those agreements govern your use of the product itself. These Terms cover only your use of the marketing site. Where there is any conflict between these Terms and a signed product agreement, the product agreement controls for product use.

3. Informational purpose; not an offer

The Site is provided for general information about Kordio. Nothing on the Site is a binding offer, commitment, or guarantee of price, feature availability, uptime, or roadmap. Product details may change without notice.

4. Eligibility

You must be at least 18 years old and legally able to enter contracts to use the Site or register for a Kordio account. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

5. Acceptable use

When using the Site, you agree not to:

  • Reverse engineer, decompile, scrape, mirror, or otherwise interfere with the Site or the systems it runs on.
  • Attempt to gain unauthorised access to any account, server, or network resource, or bypass any security or authentication.
  • Upload or transmit malware, exploit code, or any material intended to disrupt or damage systems or data.
  • Use the Site to send unsolicited communications, harass others, or distribute unlawful, defamatory, or infringing content.
  • Misrepresent your identity, affiliation, or the identity of any person or entity.
  • Use automated means to place unreasonable load on the Site, other than well-behaved indexing by legitimate search engines.

6. Intellectual property

The Site and all content on it, including copy, layout, code, images, and the Kordio name, logo, and other trademarks, are owned by Kordio or its licensors and are protected by applicable intellectual property laws. Except for the limited right to view the Site for personal, non-commercial reference, no rights are granted to you.

If you submit feedback, ideas, or suggestions about Kordio, you grant us a non-exclusive, worldwide, royalty-free, perpetual licence to use and act on that feedback without obligation.

7. Third-party links and services

The Site may link to third-party websites, documentation, or services that we do not control. We are not responsible for the content, availability, security, or practices of those third parties. Following a third-party link is at your own risk and subject to that third party's own terms and privacy policy.

8. No professional advice

Information on the Site is general in nature. It is not legal, financial, tax, accounting, or compliance advice. You should consult qualified professionals before relying on anything you read here for a specific situation.

9. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Site is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Kordio, its affiliates, and their respective officers, employees, and agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site.

Nothing in these Terms excludes or limits liability for gross negligence, wilful misconduct, fraud, or any other matter that cannot be excluded or limited under applicable law.

11. Indemnification

You agree to indemnify and hold harmless Kordio and its affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Site, (b) your breach of these Terms, or (c) your violation of any applicable law or third-party right.

12. Changes to the Site and these Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice or liability. We may also update these Terms from time to time. Material changes will be reflected in the "Last updated" date at the top of the page. Continued use of the Site after changes take effect constitutes acceptance of the updated Terms.

13. Governing law and venue

These Terms are governed by the laws of Portugal, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the competent courts of Lisbon, Portugal, and each party consents to the jurisdiction of those courts.

14. General

  • Entire agreement. These Terms are the entire agreement between you and Kordio regarding the Site and supersede any prior understandings.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Failure to enforce any right or provision does not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer them without restriction, including in connection with a merger, acquisition, or sale of assets.
  • No agency. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.
